TERMS AND CONDITIONS

  1. INTRODUCTION

These Terms and Conditions (“Agreement”) are between Adnoon, (“Agency”), and the client (“Client”), collectively referred to as “Parties.” The Agency agrees to provide pay-per-click (PPC) advertising services to the Client according to the terms and conditions outlined in this Agreement.

  1. SERVICES

The Agency agrees to provide PPC advertising services to the Client, including but not limited to keyword research, ad copy creation, campaign setup, monitoring, and optimization.

  1. CLIENT RESPONSIBILITIES

The Client agrees to provide the Agency with all necessary information and access to third-party accounts (e.g., Google Ads, Facebook Ads, etc.) required to perform the PPC advertising services. The Client is responsible for ensuring that all information provided to the Agency is accurate and up-to-date. The Client acknowledges that they are responsible for paying all third-party fees associated with the PPC advertising campaign.

  1. PAYMENT

The Client agrees to pay the Agency for the PPC advertising services provided according to the agreed-upon payment schedule. All payments are due within 30 days of the invoice date. In the event of a late payment, the Agency may suspend or terminate the PPC advertising services without notice.

  1. TERM AND TERMINATION

This Agreement shall remain in effect until either party terminates the agreement. Either party may terminate this Agreement at any time for any reason upon written notice to the other party. Upon termination, the Agency will provide the Client with any deliverables or work product completed up to the termination date, and the Client agrees to pay any outstanding fees owed to the Agency.

  1. CONFIDENTIALITY

The Parties agree to maintain the confidentiality of any confidential information exchanged between them during the course of this Agreement. Confidential information includes but is not limited to trade secrets, proprietary information, customer data, and campaign performance metrics.

  1. WARRANTIES

The Agency warrants that the PPC advertising services provided will be performed in a professional manner and in accordance with industry standards. The Client acknowledges that PPC advertising campaigns are subject to many variables beyond the control of the Agency, and the Agency cannot guarantee any specific results or performance metrics.

  1. LIMITATION OF LIABILITY

The Agency shall not be liable to the Client for any indirect, special, incidental, punitive, or consequential damages arising from or related to this Agreement or the PPC advertising services provided.

  1. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Agency is located.

  1. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous agreements, understandings, and negotiations between the Parties with respect to the PPC advertising services.
